1. 1. General Terms


    1.1. This public offer acts as an official offer from the agro-frost.com.ua website, hereinafter referred to as "Seller", for the conclusion of the Agreement for the sale of goods remotely, via the agro-frost.com.ua website, hereinafter referred to as "Agreement", and is published as a Public Offer on the Seller's official website "https://agro-frost.com.ua/" (hereinafter - the "Site").
     1.2. The moment of complete and unconditional acceptance by the Buyer of the Seller's offer (acceptance) for the conclusion of an electronic contract for the sale of goods is considered to be the payment by the Buyer of the order in accordance with the terms of this Agreement, within the terms and at the prices specified on the Seller's Website.

     

  2. 2. Terms and Definition

    2.1. In this offer, unless the context requires otherwise, the following terms have the following meanings:
    - "Product" - berries.
    - "Internet site" - means according to the Law of Ukraine "On Electronic Commerce", for the presentation or sale of goods, work or services through the execution of an electronic agreement.
    - "Seller" - a company that sells goods presented on the Site.
    - "Buyer" - a natural person who concluded an Agreement with the Seller according to the conditions below.
    - "Order" - selection of individual items from the list of goods specified by the Buyer when placing the order and payment

  3. 3. Subject of the Agreement

    3.1. The Seller undertakes to hand over the Goods to the Buyer, and the Buyer undertakes to pay and accept the Goods under the terms of this Agreement.
    3.2. This Agreement regulates the purchase and sale of goods through the Internet site, including:
    - selection of goods by the Buyer;
    - placing an order by the Buyer;
    - payment of the order by the Buyer;
    - processing and delivery of the order to the Buyer in accordance with this Agreement.

  4. 4. Order Processing Procedure

    4.1. The buyer has the right to place an order for any product available on the Site.
    4.2. Each item can be presented in the order in any quantity.
    4.3. If the products are not in stock, the Company Manager informs the Buyer (by phone or e-mail).
    4.4. The buyer has the right to choose: replace the missing product with a similar model, refuse it or cancel the order.

  5. 5. Order Payment Procedure

    5.1. Payment is made upon receipt of the product from the transport company by cash payment in hryvnias.
    5.2. In case of non-payment, the Seller reserves the right to cancel the order.

  6. 6. Order Delivery Terms

    6.1. Products are delivered to the agreed place where installation takes place.
    6.2. Together with the order, the Buyer is provided with the necessary documents in accordance with the legislation of Ukraine.

  7. 7. Rights and Obligations of the Parties

    7.1. Rights of the Seller:
    The Seller reserves the right to unilaterally terminate the provision of services under this contract if the Buyer violates the terms of this contract.
    7.2. Obligations of the Buyer:
    The Buyer is obliged to timely pay and receive the order in accordance with the terms of this contract.
    7.3. Additional obligations of the Buyer:
    The Buyer is obliged to place an order on the website, conclude an electronic contract, and also demand from the Seller the fulfillment of the terms of this Agreement.

  8. 8. Responsibility of the parties

    8.1. Duties and responsibilities:
    The parties are responsible for non-fulfillment or improper fulfillment of the terms of this contract in accordance with the current legislation of Ukraine.
    8.2. Seller's responsibility:
    The seller is responsible for changes in the appearance of the manufacturer's goods, differences in the color range of the goods. Is not responsible for delays and interruptions in the provision of services that occur for reasons beyond the control of the Seller.
    8.3. Responsibility of the Buyer:
    The Buyer, using the Internet, is responsible for the damage caused by his actions, including cases when the person using his credentials is not the Buyer himself.
    8.4. Force majeure:
    In the event of force majeure, the parties are released from fulfilling the terms of this contract. Force majeure means unforeseen events that make it impossible to fulfill contractual obligations, and the occurrence of which the Parties could not foresee and prevent by reasonable means.
    8.5. Resolution of disagreements:
    The parties are obliged to use their best efforts to resolve any disagreements through negotiations.

  9. 9. Other conditions

    9.1. Changes to the contract:
    The website has the right to unilaterally make changes to this contract, provided that they are previously published on the website https://agro-frost.com.ua.
    9.2. Purpose of the website:
    The website is intended for the remote sale of goods via the Internet.
    9.3. Confidentiality of information:
    The information provided by the Buyer is confidential and is used exclusively for the processing of the order and other activities related to the services of the website.

  10. 10. Duration of the contract

    10.1. The validity of the contract begins from the moment of concluding an electronic contract in accordance with the Law of Ukraine "On Electronic Commerce".
    10.2. Before the expiration of this Agreement, the parties may agree on its termination by mutual consent until the actual delivery of the goods by means of a refund.
    10.3. In cases of non-fulfillment by any of the parties of the terms of this Agreement or in accordance with the current legislation of Ukraine, the parties have the right to unilaterally terminate this agreement.
